Introduction to the Limited Partnership Fund Ordinance
1:53
The Limited Partnership Fund Ordinance, Cap. 637, represents a major step in strengthening Hong Kong’s position as a leading global asset management hub. It introduces a purpose built, modern legal framework that allows private equity, venture capital, and other closed ended funds to be established onshore with the flexibility and features that fund managers expect from international fund jurisdictions. The Ordinance was developed to address a long standing market gap. Before its introduction, many Hong Kong–based managers were forced to domicile their funds offshore due to the lack of a suitable local structure. Cap. 637 remedies this by offering a flexible limited partnership model designed specifically for investment funds, while aligning with global regulatory expectations in areas such as investor protection, anti money laundering compliance, and governance standards. A key strength of the regime is its balance between contractual freedom and statutory safeguards. Partners retain wide discretion to design governance arrangements, capital contribution mechanics, profit sharing formulas, investment mandates, and exit procedures. At the same time, the Ordinance embeds clear responsibilities for general partners, obligations to maintain proper records, requirements for appointing investment managers and auditors, and mechanisms ensuring transparency while respecting commercial confidentiality. Overall, the LPF framework enhances Hong Kong’s competitiveness by providing a credible, sophisticated alternative to offshore fund structures. It supports market growth, increases regulatory clarity, and helps position the jurisdiction as a preferred domicile for regional and international fund managers.
