The Environmental, Social and Governance (ESG) Reporting Code under the Hong Kong Exchange Listing Rules provides a structured and transparent framework for public companies to disclose their ESG performance and risks. It establishes clear expectations for issuers to report on environmental and social impacts alongside traditional financial information, reinforcing the role of sustainability in long-term corporate value creation. Through mandatory disclosures and “comply or explain” provisions, the Code promotes accountability while allowing flexibility based on an issuer’s circumstances, maturity and industry characteristics. A key strength of the ESG Reporting Code lies in its emphasis on governance, materiality and consistency. Boards are required to take overall responsibility for ESG strategy and reporting, ensuring ESG considerations are embedded into corporate oversight and decision-making. The Code also encourages issuers to identify material ESG issues through structured processes and stakeholder engagement, ensuring disclosures focus on matters most relevant to investors and other stakeholders. Quantitative data, supported by narrative explanations and consistent methodologies, enables meaningful comparison of performance over time and enhances the credibility of ESG reporting. The introduction of comprehensive climate-related disclosures in Part D further aligns Hong Kong’s ESG framework with international standards, including the IFRS Sustainability Disclosure Standards. By requiring disclosures across governance, strategy, risk management, and metrics and targets, the Code strengthens issuers’ transparency around climate-related risks and opportunities. Overall, the ESG Reporting Code supports higher-quality, decision-useful disclosures, helping investors better assess sustainability risks while encouraging issuers to integrate ESG considerations into their long-term business strategies and operations.
